Terms of Service

1. Acceptance of these Terms

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Acceptable Use & Anti-Spam Policy. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

NetCare Share lets authorized operators generate unique, expirable links to deliver documents to specific recipients, monitor engagement, and revoke access. We may update, improve, or modify the Service over time. Access is offered to organizations by invitation.

3. Accounts & access

• You must provide accurate information and keep your credentials confidential.
• You are responsible for activity that occurs under your account.
• We never ask for your password on public pages; notify us promptly of any unauthorized use.

4. Customer responsibilities

As a condition of using the Service to send documents and notifications, you represent and warrant that:

• You have the right to share the content you upload and to contact the recipients you add.
• You have any consents, authorizations, and lawful basis required to send documents and email to those recipients.
• You will comply with all applicable laws, including data-protection, healthcare, and anti-spam laws (such as CAN-SPAM, GDPR, and CASL where applicable).
• You will not use the Service to send unsolicited bulk email or to purchased or scraped lists.

5. Acceptable use

Your use of the Service is subject to our Acceptable Use & Anti-Spam Policy, which is incorporated into these Terms. Prohibited activities include sending spam, phishing, malware, or unlawful content, and attempting to breach security or others’ rights.

6. Content & ownership

You retain all rights to the content you share (“Customer Content”). You grant us a limited license to host, process, and transmit Customer Content solely to provide the Service. NetCare Share and its licensors own all rights in the Service itself, including software, design, and trademarks. You may not copy, reverse engineer, or resell the Service.

7. Privacy

Our handling of personal information is described in the Privacy Policy. By using the Service you acknowledge that policy.

8. Fees

Where the Service is offered under a paid plan, fees, billing, and renewal terms will be provided in an order or agreement. Unless stated otherwise, fees are non-refundable except as required by law.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, NetCare Share and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim (or, if no fees were paid, US $100).

11. Indemnification

You agree to indemnify and hold harmless NetCare Share from claims, damages, and expenses arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or our policies, or to protect the Service and its users. Upon termination, your right to use the Service ends; certain provisions survive as needed (for example, ownership, disclaimers, and liability limits).

13. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which NetCare Share, Inc. is established, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction, unless applicable law requires otherwise.

14. Changes to these Terms

We may modify these Terms from time to time. Material changes take effect when posted, indicated by the “Last updated” date above. Your continued use of the Service constitutes acceptance of the updated Terms.
